Terms of Service
1. Definitions and Interpretation
In these Terms, the following definitions apply unless the context requires otherwise:
- “Service” or “Schema Engine” means the Schema Engine software application, including all associated features, tools, APIs, and documentation, made available by the Provider through the HubSpot Marketplace or otherwise.
- “Provider”, “we”, “us”, or “our” means Blend Marketing Limited, a company registered in England and Wales under company number 07358192, with its registered office at Unit 2, East Throp House, Paddock Road, Caversham, Reading, Berkshire, England, RG4 5BY.
- “Customer”, “you”, or “your” means the individual, company, or other legal entity that installs, accesses, or uses the Service, including any employees, agents, or contractors acting on that entity’s behalf.
- “HubSpot” means HubSpot, Inc. and its affiliates, the provider of the HubSpot platform through which the Service operates.
- “HubSpot Portal” means your HubSpot account and associated portal through which you access and use the Service.
- “Schema Markup” means the structured data markup (in JSON-LD format) generated by the Service and applied to your HubSpot website pages.
- “Subscription” means the paid or free tier plan selected by the Customer, which determines the features, page limits, and usage allowances available.
- “Content” means any text, images, code, data, or other materials present on your HubSpot website pages that the Service accesses in order to generate Schema Markup.
- “AI-Generated Output” means any Schema Markup or other output produced by the Service using artificial intelligence or machine learning models.
2. Service Description
2.1 Overview
Schema Engine is a software-as-a-service application that integrates with HubSpot via the HubSpot Marketplace. The Service uses artificial intelligence to analyse the content of selected HubSpot website pages and automatically generate Schema.org structured data markup, which is then applied to those pages’ HTML head section.
2.2 How the Service Works
The Service operates by: (a) reading the publicly accessible content of your selected HubSpot pages; (b) processing that content through third-party AI models to determine appropriate Schema.org types and properties; (c) generating JSON-LD structured data markup; and (d) inserting that markup into the head HTML of the relevant pages via the HubSpot API.
2.3 Automatic Regeneration
Where automatic regeneration is enabled, the Service periodically checks your selected pages for content updates and regenerates Schema Markup accordingly. The frequency and scope of automatic regeneration depend on your Subscription tier and the Service’s operational capacity at any given time. We do not guarantee any specific regeneration frequency or response time.
2.4 No Guarantee of Search Engine Results
The Service generates structured data intended to assist search engines and AI systems in understanding your page content. However, we make no representation, warranty, or guarantee whatsoever that: (a) any search engine or AI system will index, interpret, or display your Schema Markup; (b) your pages will appear in rich results, featured snippets, AI Overviews, or any enhanced search features; (c) the Service will improve your search engine rankings, visibility, traffic, or any other performance metric; or (d) the Schema Markup generated will be accurate, complete, or suitable for your particular purposes.
Search engine algorithms and AI systems are controlled by third parties and are subject to change at any time without notice. The presence of structured data on your pages is one of many factors that may influence search visibility, and we disclaim any responsibility for how third-party systems interpret or use Schema Markup generated by the Service.
3. Eligibility and Account Requirements
3.1 You must have a valid, active HubSpot account with the appropriate HubSpot subscription tier that supports CMS functionality to use the Service.
3.2 By installing the Service, you represent and warrant that: (a) you have the legal capacity and authority to enter into these Terms; (b) if acting on behalf of a company or other legal entity, you have the authority to bind that entity to these Terms; (c) you are the owner of, or are duly authorised to manage, the HubSpot Portal to which you connect the Service; and (d) your use of the Service will comply with all applicable laws and regulations.
3.3 You are solely responsible for maintaining the security and confidentiality of your HubSpot account credentials. We shall not be liable for any loss or damage arising from unauthorised access to your HubSpot Portal.
4. Subscription, Fees, and Payment
4.1 Subscription Tiers
The Service is offered across multiple subscription tiers, each with defined page limits and usage allowances. Details of current tiers, pricing, and features are published on our website and may be updated from time to time at our sole discretion.
4.2 Fees and Billing
Subscription fees are billed in advance on a recurring basis (monthly or annually, as selected) through our payment processor, Stripe. All fees are quoted exclusive of VAT and any other applicable taxes unless expressly stated otherwise. You are responsible for all taxes associated with your Subscription.
4.3 Price Changes
We reserve the right to change our pricing at any time. If we change the pricing for your current Subscription tier, we will provide you with at least 30 days’ notice before the new pricing takes effect. Your continued use of the Service after the effective date of a price change constitutes your acceptance of the new pricing.
4.4 Payment Failure
If payment cannot be processed for any reason, we may suspend or restrict access to the Service until payment is successfully collected. We are not liable for any loss or disruption caused by suspension due to payment failure.
4.5 No Refunds
All fees are non-refundable to the fullest extent permitted by law. This includes, without limitation, fees paid in advance for any unused portion of a Subscription period. Where a refund is required by applicable consumer protection legislation (including, where applicable, the Consumer Rights Act 2015), such refund shall be limited to the minimum amount required by law.
4.6 Free Tier
The free tier is provided at our sole discretion and may be modified, limited, or discontinued at any time without notice or liability.
5. Acceptable Use
5.1 You agree to use the Service only for its intended purpose and in accordance with these Terms and all applicable laws.
5.2 You shall not:
- attempt to reverse-engineer, decompile, disassemble, or otherwise derive the source code of the Service;
- use the Service to generate Schema Markup for websites or pages that you do not own or are not authorised to manage;
- use the Service in any manner that could damage, disable, overburden, or impair the Service or interfere with any other party’s use of the Service;
- attempt to gain unauthorised access to any systems or networks connected to the Service;
- use the Service to distribute malware, spam, or any unlawful, harmful, or objectionable content;
- resell, sublicense, or redistribute access to the Service to third parties without our prior written consent;
- use automated scripts, bots, or other means to access the Service beyond normal application usage;
- circumvent or attempt to circumvent any usage limits, billing controls, or technical restrictions of the Service;
- use the Service in connection with any website containing content that is unlawful, defamatory, obscene, or otherwise objectionable; or
- use the Service in any manner that violates HubSpot’s terms of service or acceptable use policies.
5.3 We reserve the right to suspend or terminate your access to the Service immediately and without notice if we reasonably believe you are in breach of this Section 5.
6. AI-Generated Output and Accuracy
6.1 Nature of AI Output
The Service uses third-party artificial intelligence models to generate Schema Markup. AI-Generated Output is produced algorithmically and may contain errors, inaccuracies, omissions, or hallucinations. The AI models used by the Service are provided by third parties and are not developed, trained, or controlled by us.
6.2 No Warranty of Accuracy
We make no representation or warranty that any AI-Generated Output will be accurate, complete, current, error-free, or fit for any particular purpose. You acknowledge and agree that AI-Generated Output may: (a) contain factual errors or misrepresentations about your business, products, or services; (b) assign incorrect Schema.org types or properties to your pages; (c) include information that is outdated, misleading, or inappropriate; or (d) fail to comply with Schema.org specifications or search engine guidelines.
6.3 Customer Responsibility
You are solely and exclusively responsible for reviewing, verifying, and validating all Schema Markup generated by the Service before it is applied to your pages, or as soon as reasonably practicable after automatic application. Your use of AI-Generated Output is entirely at your own risk. We strongly recommend that you regularly review the Schema Markup applied to your pages using tools such as Google’s Rich Results Test or Schema.org’s validator.
6.4 No Liability for AI Output
To the maximum extent permitted by law, we shall have no liability whatsoever for any loss, damage, cost, or expense arising from or in connection with any AI-Generated Output, including but not limited to: (a) search engine penalties or deindexing; (b) incorrect or misleading structured data; (c) loss of search visibility or rankings; (d) reputational damage; or (e) any claim by a third party arising from the content of AI-Generated Output.
7. Data, Privacy, and HubSpot Integration
7.1 Data We Access
In order to provide the Service, we access: (a) the publicly rendered content of your selected HubSpot website pages; (b) page metadata including page IDs, URLs, titles, and update timestamps; and (c) the head HTML of your pages (for the purpose of inserting and managing Schema Markup). We do not access your HubSpot CRM data, contact records, deal pipelines, or any other data beyond what is strictly necessary to deliver the Service.
7.2 Data Processing
Page content accessed by the Service is transmitted to third-party AI providers for the purpose of generating Schema Markup. By using the Service, you consent to this transmission. We do not retain page content beyond the period necessary to generate Schema Markup. AI providers may process your page content in accordance with their own terms and privacy policies.
7.3 Privacy Policy
Our collection, use, and handling of personal data is governed by our Privacy Policy, available at https://schemaengine.blendb2b.com/privacy-policy. The Privacy Policy forms part of these Terms.
7.4 HubSpot Marketplace
The Service is distributed via the HubSpot Marketplace and is subject to HubSpot’s Marketplace Terms of Service in addition to these Terms. In the event of any conflict between these Terms and HubSpot’s Marketplace Terms, HubSpot’s terms shall prevail to the extent of the conflict with respect to HubSpot Marketplace matters.
7.5 OAuth and Permissions
The Service connects to your HubSpot Portal via OAuth. You grant us only the permissions necessary to deliver the Service. You may revoke these permissions at any time through your HubSpot Portal settings, which will result in the Service being unable to function.
8. Intellectual Property
8.1 Our Intellectual Property
All intellectual property rights in the Service, including but not limited to the software, algorithms, user interface, documentation, branding, and any updates or improvements thereto, are and shall remain the exclusive property of Blend Marketing Limited or its licensors. Nothing in these Terms grants you any rights in the Service beyond the limited right to use it in accordance with these Terms.
8.2 Your Content
You retain all rights in your Content. By using the Service, you grant us a limited, non-exclusive, royalty-free licence to access and process your Content solely for the purpose of providing the Service.
8.3 Schema Markup Ownership
Schema Markup generated by the Service is provided to you under a non-exclusive, royalty-free licence for use on your HubSpot website pages. You may use, modify, and retain Schema Markup generated for your pages. We retain no proprietary claim over the specific Schema Markup applied to your pages, but we retain all rights in the underlying technology and processes used to generate it.
8.4 Feedback
If you provide us with any feedback, suggestions, or ideas relating to the Service, you grant us a perpetual, irrevocable, worldwide, royalty-free licence to use, modify, and incorporate such feedback into the Service or any other product or service without obligation or compensation to you.
9. Limitation of Liability
9.1 Exclusion of Liability
To the maximum extent permitted by applicable law, in no event shall the Provider, its directors, employees, agents, partners, or affiliates be liable for any:
- indirect, incidental, special, consequential, punitive, or exemplary damages;
- loss of profits, revenue, business, goodwill, data, or anticipated savings;
- cost of procuring substitute goods or services;
- loss of or damage to search engine rankings, visibility, or traffic;
- search engine penalties, deindexing, or algorithmic changes affecting your website;
- any loss or damage arising from or in connection with AI-Generated Output;
- any loss or damage arising from modifications made by the Service to your HubSpot pages; or
- any loss or damage arising from the unavailability, interruption, or malfunction of the Service,
howsoever arising, whether in contract, tort (including negligence), breach of statutory duty, or otherwise, even if the Provider has been advised of the possibility of such damages.
9.2 Cap on Liability
Subject to Section 9.3, the Provider’s total aggregate liability to you for all claims arising under or in connection with these Terms, whether in contract, tort, or otherwise, shall not exceed the greater of: (a) the total fees paid by you to the Provider in the twelve (12) months immediately preceding the event giving rise to the claim; or (b) fifty pounds sterling (£50).
9.3 Nothing Excluded
Nothing in these Terms shall limit or exclude liability for: (a) death or personal injury caused by negligence; (b) fraud or fraudulent misrepresentation; or (c) any other liability that cannot be limited or excluded by applicable law.
9.4 Allocation of Risk
You acknowledge that the limitations and exclusions of liability set out in this Section 9 are reasonable given the nature of the Service, the fact that it relies on third-party AI models and third-party platforms, and the fees charged. These limitations form an essential basis of the bargain between you and us.
10. Disclaimers and Exclusion of Warranties
10.1 The Service is provided on an “as is” and “as available” basis, without any warranties or conditions of any kind, whether express, implied, or statutory.
10.2 To the fullest extent permitted by law, we expressly disclaim all warranties, including but not limited to implied warranties of merchantability, fitness for a particular purpose, non-infringement, accuracy, reliability, and availability.
10.3 Without limiting the generality of the foregoing, we do not warrant that:
- the Service will be uninterrupted, timely, secure, or error-free;
- the results obtained from the Service will be accurate, reliable, or complete;
- the Service will meet your specific requirements or expectations;
- any errors or defects in the Service will be corrected;
- the Service will be compatible with all HubSpot configurations, themes, or third-party integrations;
- AI-Generated Output will comply with any particular standard, specification, or guideline; or
- the Service will continue to be available in its current form or at all.
10.4 Where you are a consumer, these disclaimers do not affect your statutory rights under the Consumer Rights Act 2015 or other applicable consumer protection legislation.
11. Modifications to Your HubSpot Pages
11.1 You acknowledge and agree that the Service modifies the head HTML of your selected HubSpot pages by inserting, updating, and removing JSON-LD schema markup. While the Service is designed to only modify schema markup sections (identified by distinct comment markers), you accept full responsibility for any consequences arising from these modifications.
11.2 We strongly recommend that you: (a) maintain regular backups of your HubSpot page content and templates; (b) test the Service on a limited number of pages before enabling it across your entire website; and (c) monitor your pages after Schema Markup is applied or updated.
11.3 We shall have no liability for any damage, disruption, or adverse effect caused by the Service’s modifications to your HubSpot pages, including but not limited to: (a) rendering issues; (b) conflicts with other scripts, themes, or HubSpot modules; (c) accidental removal or alteration of non-schema head HTML content; or (d) any impact on page load speed or performance.
12. Third-Party Services and Dependencies
12.1 The Service depends on third-party services including, without limitation, HubSpot, Stripe (payment processing), and third-party AI model providers. We are not responsible for the availability, performance, accuracy, policies, or practices of any third-party service.
12.2 Changes to third-party services, APIs, terms of service, or pricing may affect the functionality, availability, or cost of the Service. We shall have no liability for any such impact.
12.3 Your use of the Service may be subject to additional terms and conditions imposed by third-party service providers. It is your responsibility to review and comply with those terms.
13. Service Availability and Support
13.1 Availability
We will use commercially reasonable efforts to maintain the availability of the Service but do not guarantee any specific uptime level or service level agreement. The Service may be unavailable from time to time due to maintenance, updates, technical issues, or circumstances beyond our reasonable control.
13.2 Maintenance and Updates
We may update, modify, or change the Service at any time without prior notice, including adding, altering, or removing features. We shall have no obligation to maintain backward compatibility or to provide any specific feature.
13.3 Support
Support is provided on a reasonable-endeavours basis via the channels published on our website. We do not guarantee any specific response time or resolution time for support requests.
14. Term and Termination
14.1 Term
These Terms shall remain in effect for so long as you have an active Subscription or otherwise use the Service.
14.2 Termination by You
You may cancel your Subscription at any time through the Stripe Customer Portal or by contacting us. Cancellation will take effect at the end of the current billing period. No refund will be provided for any unused portion of the current billing period.
14.3 Termination by Us
We may suspend or terminate your access to the Service at any time, with or without cause, and with or without notice. Without limiting the foregoing, we may terminate your access immediately if: (a) you breach any provision of these Terms; (b) your payment method fails and is not rectified within a reasonable period; (c) we are required to do so by law; (d) we discontinue the Service; or (e) we reasonably determine that your continued use poses a risk to the Service, our systems, or other users.
14.4 Effect of Termination
Upon termination: (a) your right to use the Service shall cease immediately; (b) the Service will no longer monitor or update Schema Markup on your pages; (c) existing Schema Markup that has already been applied to your pages will remain in place unless you remove it manually; and (d) we shall have no obligation to retain any data related to your account. Sections 6, 8, 9, 10, 15, 16, and 17 shall survive termination.
15. Indemnification
You agree to indemnify, defend, and hold harmless the Provider, its directors, officers, employees, agents, and affiliates from and against any and all claims, damages, losses, liabilities, costs, and expenses (including reasonable legal fees) arising out of or in connection with: (a) your use of the Service; (b) your breach of these Terms; (c) your violation of any applicable law or regulation; (d) your Content or any claims relating thereto; (e) any third-party claim arising from Schema Markup applied to your pages; or (f) your use of AI-Generated Output.
16. Force Majeure
We shall not be liable for any failure or delay in performing our obligations under these Terms to the extent that such failure or delay is caused by circumstances beyond our reasonable control, including but not limited to: acts of God, natural disasters, pandemics, epidemics, war, terrorism, riots, civil unrest, government actions, sanctions, embargoes, labour disputes, power failures, internet or telecommunications failures, cyberattacks, failures of third-party services (including HubSpot and AI providers), changes to third-party APIs, or any other cause beyond our reasonable control.
17. General Provisions
17.1 Governing Law
These Terms shall be governed by and construed in accordance with the laws of England and Wales.
17.2 Jurisdiction
The courts of England and Wales shall have exclusive jurisdiction to settle any dispute arising out of or in connection with these Terms, subject to our right to seek injunctive or other equitable relief in any court of competent jurisdiction.
17.3 Entire Agreement
These Terms, together with our Privacy Policy and any Subscription-specific terms, constitute the entire agreement between you and us in relation to the Service and supersede all prior agreements, understandings, and representations.
17.4 Severability
If any provision of these Terms is found to be invalid, illegal, or unenforceable by a court of competent jurisdiction, that provision shall be severed from these Terms and the remaining provisions shall continue in full force and effect.
17.5 Waiver
No failure or delay by us in exercising any right or remedy under these Terms shall constitute a waiver of that right or remedy. A waiver of any right or remedy on one occasion shall not be deemed a waiver of that right or remedy on any subsequent occasion.
17.6 Assignment
You may not assign, transfer, or sublicense any of your rights or obligations under these Terms without our prior written consent. We may assign or transfer our rights and obligations under these Terms at any time without your consent, including in connection with a merger, acquisition, corporate reorganisation, or sale of assets.
17.7 No Third-Party Rights
These Terms do not confer any rights on any person or party other than the parties to these Terms. No person who is not a party to these Terms shall have any rights under the Contracts (Rights of Third Parties) Act 1999 to enforce any provision of these Terms.
17.8 Notices
Any notices required or permitted under these Terms shall be sent to us at support@schemaengine.ai or to the registered office address set out above. We may send notices to you at the email address associated with your account or through your HubSpot Portal.
17.9 Amendments
We reserve the right to amend these Terms at any time by publishing the amended Terms on our website. Material changes will be communicated via email or through the Service. Your continued use of the Service after the publication of amended Terms constitutes your acceptance of those amended Terms. If you do not agree to any amendment, your sole remedy is to cease using the Service and cancel your Subscription.
